75 PARK SPACE-SHARING MEMBERSHIP AGREEMENT
WHEREAS, 75 Park LLC is the owner of the real estate located at 75 Park Street, Lewiston, Maine 04240 (the “Premises”);
WHEREAS, the Owner endeavors to provide members of the 75 Park Space-Sharing Membership Agreement with the space, support and community that they need to build and grow their business; and
WHEREAS, the undersigned Member desires to enter into this Space-Sharing Membership Agreement on the terms and conditions set forth herein.
NOW, THEREFORE, for and in consideration of the mutual covenants and conditions herein, the Member hereby enters into this Space-Sharing Agreement with 75 Park LLC upon the following terms and conditions:
1. Membership Packages: 75 Park may provide you with access to office space, work stations, internet access, office equipment, conference space, knowledge resources, and other services as 75 Park may offer from time to time (collectively, “Services”). The Services at all times are subject to this Member Agreement and the Community Norms referenced in Section
2. Use of services. You agree that when participating in or using the Services, you will not:
Use the Services in connection with contests, pyramid schemes, chain letters, junk email, spamming, spimming or any duplicative or unsolicited message (commercial or otherwise);
Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others;
Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through 75 Park servers or bandwidth;
Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same;
Use any material or information, including images or photographs, which are made available through the Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
Upload files that contain viruses, Trojan Horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another;
Download any file(s) that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner;
Restrict or inhibit any other user from using and enjoying the Services;
Violate any code of conduct or other guidelines which may be applicable for any particular Service;
Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party;
Violate any applicable laws or regulations;
Create a false identity for the purpose of misleading others;
Obstruct any entranceway, create any circumstances of disrepair or damage any 75 Park Property or Premises;
No cooking shall be done or permitted on the Premises, nor shall the Premises be used for lodging (the use of a coffee maker, electric water kettle, toaster oven and microwave are, however, permitted uses);
Bring any pets onto the 75 Park Premises, unless you have received approval through the 75 Park pet attendance application process;
Use cellular phones or other communication devices in a manner that will be disruptive to other members. In the interests of maintaining a peaceful environment, 75 Park requests that all members, guests, and clients turn their phones to vibrate while in the Premises. We also ask that you use a headphone, phone booth areas or meeting room for calls longer than 10 minutes; or
Otherwise violate the Member Agreement or any of the Community Norms.
3. Condition of the Premises. Member agrees to accept the Premises in their present condition.
4. Use of the Premises. The Member shall not use the Premises nor permit the Premises to be used, in any manner that violates any law, statute, ordinance or regulation now or hereafter in force and applicable at the Premises. The Member shall not use the Premises, not permit the Premises to be used, in any manner that unreasonably interferes with other persons’ ability to peaceably enjoy the Premises.
5. Maintenance Requirement. The Member shall at all times keep and maintain the Premises in a neat and clean condition and in a good state of repair. Member shall, at his/her sole expense, promptly repair any damage to the Premises caused by any act or omission of Member or any agent, employee, customer, guest or invitee of the Member. Member shall not in any manner deface or damage the Premises or any part thereof. Member will make no structural change or other alteration to the Premises without the prior written consent of Owner. The Member will return his/her office and/or desk peaceably and promptly to Owner at the end of the term of this Agreement, or at any earlier termination thereof, in as good condition as the same are at the beginning of the term of this Agreement, ordinary wear and tear excepted.
6. Indemnity by Member. Member covenants and agrees to hold the Owner harmless from any and all loss, including attorneys’ fees and costs, claims, damage, and liability to any person or property occurring upon or about the Premises from any cause whatsoever, and arising, directly or indirectly, from Member’s breach of this Agreement or use the of the Premises.
7. Breach of this Agreement. If the Member breaches any of the terms and conditions of this Agreement, then Owner shall have the right to terminate the Member’s membership package immediately.
8. Signage. Member shall have no right to place signage at the Premises without first obtaining the Owner’s prior written consent.
9. Assignment and Subletting. Member shall not assign its rights under this Agreement or sublet all or any part of the Premises without having first received the prior written consent of Owner.
10. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Maine.
11. Confidentiality. Member acknowledges and agrees that he/she shall not keep or retain, make copies of, take notes on, or otherwise access the business documents of other members; member agrees not to use Confidential Information in any way directly or indirectly detrimental to 75 Park or any participant or user of the Services.
12. Exclusion of Damages. To the maximum extent permitted by applicable law, in no event shall Owner or its officers, agents, members, managers, representatives, employees, successors and assigns, jointly or individually be liable for any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for loss of profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty, negligence, and any other pecuniary or other loss whatsoever, arising out of or in any way related to the participation in or inability to participate in or use of the services, the provision of or failure to provide services, or otherwise under or in connection with any provision of this agreement.
13. Cancellation Policy: You are eligible for a full refund if you cancel your booking at least 48 hours prior to the scheduled start time. A 50% refund is available for cancellations made within 24 hours of the booking.
